1. Acceptance of These Terms
These Terms & Conditions ("Terms") govern your access to and use of:
seraph.capital;- subdomains and landing pages operated by Seraph Capital LLC;
- forms operated by Seraph Capital LLC on third-party platforms; and
- related online content, communications, and services that link to these Terms.
Collectively, these are referred to as the "Online Services."
The Online Services are operated by Seraph Capital LLC ("Seraph Capital," "we," "us," or "our").
By accessing or using the Online Services, or by submitting information through a form that links to these Terms, you agree to be bound by these Terms. If you do not agree, you should not use the Online Services or submit information through them.
Your use of the Online Services is also subject to our Privacy Policy, which describes how we collect, use, disclose, and protect personal information.
2. Eligibility and Authority
You must be at least 18 years old to use the Online Services.
By submitting information through the Online Services, you represent and warrant that:
- you are at least 18 years old;
- the information you provide is accurate to the best of your knowledge;
- you have the right and authority to provide the information;
- you have authority to act on behalf of any business, entity, property owner, note holder, or other party you identify or represent; and
- your submission and requested use of the Online Services do not violate any agreement, law, or third-party right.
3. Business-Purpose Services
Seraph Capital's funding and transaction services are primarily intended for business-purpose real estate activities and investment properties.
Unless expressly agreed otherwise in a separate written agreement, information presented through the Online Services is not intended as an offer of credit for personal, family, or household purposes.
Seraph Capital may, in its discretion and as permitted by applicable law, participate in a proposed transaction as:
- a lender or funding source;
- a purchaser or seller;
- a broker or intermediary;
- a referral source;
- a consultant or service provider;
- an investor or transaction participant; or
- another appropriate capacity.
Seraph Capital may also decline to evaluate or participate in any proposed transaction.
Nothing on the Online Services requires Seraph Capital to act in any particular capacity or creates an exclusive relationship.
4. Submissions Are Nonbinding
Submitting a funding request, mortgage-note submission, property inquiry, contact form, scheduling request, or other information through the Online Services is solely a request for information or evaluation.
A submission does not constitute or create:
- an approval;
- a commitment to lend or borrow;
- a commitment to purchase or sell;
- a commitment to broker, refer, arrange, or close a transaction;
- a binding offer or acceptance;
- a guaranteed quote or price;
- an obligation to issue or accept a term sheet;
- a partnership, joint venture, agency, or fiduciary relationship; or
- any other binding obligation between you, Seraph Capital, or another party.
Any preliminary terms, estimates, pricing indications, expressions of interest, proposals, or term sheets are nonbinding unless a separate written document expressly states otherwise and is executed by the parties to be bound.
Seraph Capital may accept, reject, modify, suspend, or discontinue its consideration of any inquiry or proposed transaction at any time, subject to any separate binding agreement.
5. Separate Agreements Control
Funding transactions, note purchases or sales, brokerage engagements, property reports, lead-data services, subscriptions, consulting services, and other paid or transaction-specific services may be governed by separate documents, including:
- proposals;
- engagement letters;
- order forms;
- invoices;
- subscription agreements;
- loan documents;
- purchase and sale agreements;
- brokerage or referral agreements;
- confidentiality agreements; and
- other written contracts.
Those documents may establish pricing, scope, deliverables, payment obligations, cancellation terms, confidentiality requirements, permitted uses, warranties, dispute procedures, and other transaction-specific terms.
If these Terms conflict with a separately executed written agreement concerning a particular service or transaction, the separate written agreement controls with respect to that service or transaction.
The Online Services do not currently process payments or complete paid transactions directly through the website.
6. No Professional Advice
Content provided through the Online Services is for general informational and educational purposes only.
Nothing on the Online Services constitutes legal, tax, accounting, investment, financial-planning, securities, appraisal, valuation, or other professional advice.
You should consult qualified professionals regarding your particular circumstances before making a financial, investment, legal, tax, or business decision.
Accessing the Online Services, submitting information, or communicating with Seraph Capital does not, by itself, create:
- an attorney-client relationship;
- an accountant-client relationship;
- an investment-advisory relationship;
- a fiduciary relationship;
- an agency relationship; or
- another professional relationship not expressly established in a separate written agreement.
7. No Offer, Solicitation, or Guarantee
Nothing on the Online Services constitutes:
- a binding offer to lend, invest, purchase, or sell;
- a solicitation or offer to purchase or sell a security;
- a commitment to provide financing;
- a guarantee that financing will be available;
- a guarantee that a mortgage note or property can be purchased or sold;
- a guarantee of any interest rate, price, valuation, return, yield, profit, or other outcome; or
- a representation that any transaction will close.
Any financing, note, investment, property, or other opportunity will be evaluated independently and, where applicable, presented through separate documents.
Past performance, projected returns, examples, case studies, illustrations, and hypothetical results do not guarantee future performance or results.
You are responsible for conducting your own investigation and due diligence before entering into a transaction.
8. Information Submitted Through the Online Services
You authorize Seraph Capital to use and process information you submit as reasonably necessary to:
- respond to your inquiry;
- provide requested information or materials;
- evaluate a funding request, mortgage note, property, or proposed transaction;
- conduct due diligence;
- communicate with you;
- identify potentially appropriate transaction participants;
- facilitate or administer a requested service or transaction;
- maintain business and compliance records;
- protect against fraud or misuse; and
- carry out the other purposes described in our Privacy Policy.
When reasonably necessary for an evaluation or transaction you request, Seraph Capital may provide relevant information to potential or actual lenders, investors, purchasers, sellers, brokers, servicers, professional advisers, due-diligence providers, and other transaction participants.
You remain responsible for ensuring that you have the right and authority to provide information concerning another person, business, property, loan, or mortgage note.
Do not submit passwords, access credentials, or sensitive information that Seraph Capital has not requested.
9. Property Reports and Data Services
Property reports, off-market property information, lead-data products, research services, and related subscriptions are available only under a separate agreement, proposal, order form, or invoice.
The applicable separate agreement may address:
- the scope and format of the information;
- permitted users and permitted purposes;
- delivery schedules;
- pricing and payment;
- subscription duration;
- renewal and cancellation;
- confidentiality;
- storage and security;
- redistribution, publication, or resale restrictions; and
- other product-specific requirements.
To the extent a report or data product contains information obtained from public records, commercial databases, estimates, models, or third-party sources, that information may be incomplete, delayed, outdated, or inaccurate.
Unless expressly stated in a separate written agreement, Seraph Capital does not represent or warrant that:
- data is complete, current, or error-free;
- an estimated value, equity amount, ownership record, lien status, or other data point is correct;
- a property owner, borrower, lender, note holder, or other person is interested in a transaction; or
- use of the information will produce any particular response or business result.
Clients are responsible for independently verifying information before relying on it and for using reports and data in accordance with applicable law and the applicable agreement.
No property report, lead list, or data product may be copied, published, resold, redistributed, sublicensed, or made available to another person except as expressly permitted by the applicable written agreement.
10. Text Messaging Terms
A. Program Description
Seraph Capital's text-messaging program is used for non-promotional communications associated with:
- inquiries;
- information requests;
- appointments and scheduling;
- requested follow-up;
- customer care;
- applications;
- mortgage-note submissions; and
- pending or proposed transactions.
Messages may include requested information or educational materials, appointment reminders, scheduling updates, requests for information needed to address an inquiry, and transaction-related communications.
Seraph Capital does not use this SMS program to send promotional or marketing text messages.
B. Separate Opt-In
Accepting these Terms does not, by itself, enroll you in the SMS program.
You may opt in through a separate consent mechanism presented on:
seraph.capital;- a Seraph Capital subdomain or landing page;
- an appointment or scheduling form;
- a Facebook lead form or other third-party form operated by Seraph Capital; or
- another authorized opt-in process.
By opting in, you represent that you are the subscriber or customary user of the mobile number provided or are otherwise authorized to consent to messages at that number.
Consent to receive text messages is not a condition of purchasing any product or service.
C. Message Frequency and Charges
Message frequency may vary depending on the nature of your inquiry, appointment, request, application, or transaction.
Message and data rates may apply according to your wireless service plan.
Seraph Capital does not charge a separate fee for receiving text messages, but your wireless carrier may impose charges.
D. Opting Out
You may opt out at any time by replying STOP to the number that sent the message.
After you opt out, you may receive one final text confirming that your request has been processed. The Federal Communications Commission has recognized one-time opt-out confirmation texts as permissible. FCC Apps
An SMS opt-out does not automatically unsubscribe you from email communications or prevent Seraph Capital from communicating through another method in response to your request or in connection with a transaction.

F. Delivery and Carrier Responsibility
Wireless carriers are not responsible for delayed or undelivered messages.
Message delivery is subject to network availability, carrier processing, device compatibility, and other circumstances outside Seraph Capital's control. Seraph Capital does not guarantee that every text message will be transmitted or received.
G. Privacy
Mobile information, SMS opt-in data, and consent records are handled as described in our Privacy Policy.
We do not share mobile information, SMS opt-in data, or consent records with third parties or affiliates for their own marketing or promotional purposes.
11. Email Communications
You may separately subscribe to newsletters, tips, updates, insights, educational materials, or other optional email communications.
You may unsubscribe from optional emails by using the unsubscribe method included in the message or by contacting us.
Unsubscribing from optional email communications does not prevent Seraph Capital from sending non-promotional emails concerning:
- an inquiry;
- requested information;
- an appointment;
- an application;
- a transaction;
- customer service;
- security;
- legal notices; or
- an existing business relationship.
Email consent and SMS consent are separate.
12. Acceptable Use
You may use the Online Services only for lawful purposes and in accordance with these Terms.
You may not:
- provide information that you know is false, misleading, or fraudulent;
- impersonate another person or misrepresent your authority;
- submit information that you do not have the right to provide;
- use the Online Services to violate a law, regulation, contract, or third-party right;
- attempt to gain unauthorized access to an account, server, database, or network;
- interfere with the security, availability, or operation of the Online Services;
- introduce malware, malicious code, automated attacks, or harmful material;
- scrape, harvest, crawl, index, or systematically extract website content or data without written authorization;
- copy, reproduce, publish, sell, license, or commercially exploit website content except as expressly permitted;
- use another person's contact information without authorization;
- use the Online Services to send spam, deceptive communications, or unlawful solicitations; or
- assist another person in engaging in prohibited conduct.
Seraph Capital may suspend or restrict access when it reasonably believes the Online Services are being misused.
13. Intellectual Property
The Online Services and their content—including text, branding, logos, graphics, page designs, reports, forms, databases, software, and other materials—are owned by Seraph Capital or used under license and are protected by applicable intellectual-property laws.
Subject to these Terms, Seraph Capital grants you a limited, revocable, nonexclusive, nontransferable license to access and use the publicly available portions of the Online Services for your internal, lawful business purposes.
This license does not permit you to:
- reproduce or republish substantial portions of the Online Services;
- remove copyright, trademark, or proprietary notices;
- create derivative works from protected content;
- use Seraph Capital's name, logo, or branding without permission;
- frame or mirror the Online Services; or
- resell or commercially exploit website content.
No ownership rights are transferred to you.
14. Third-Party Websites and Services
The Online Services may contain links to or integrations with third-party websites, forms, scheduling tools, social-media platforms, data providers, or other services.
Those third parties operate independently and may have their own terms, privacy policies, fees, and practices.
Seraph Capital does not control and is not responsible for:
- third-party content;
- service availability;
- security practices;
- privacy practices;
- accuracy;
- products or services; or
- actions or omissions.
A link or integration does not constitute an endorsement unless expressly stated.
Your use of a third-party service is governed by the terms applicable to that service.
15. Website Availability and Changes
Seraph Capital may modify, suspend, discontinue, restrict, or remove any portion of the Online Services at any time.
We do not guarantee that:
- the Online Services will always be available;
- access will be uninterrupted or error-free;
- defects will be corrected immediately;
- all content will remain available; or
- the Online Services will be compatible with every device, browser, or system.
We may update website content, eligibility criteria, service descriptions, or available programs without notice.
16. Disclaimer of Warranties
To the fullest extent permitted by law, the Online Services are provided on an "as is" and "as available" basis.
Seraph Capital disclaims all express and implied warranties relating to the Online Services, including implied warranties of:
- merchantability;
- fitness for a particular purpose;
- title;
- noninfringement;
- accuracy;
- completeness;
- availability; and
- security.
Seraph Capital does not warrant that website content, third-party information, estimates, projections, property information, financing information, note information, or other materials are accurate, complete, current, or suitable for your particular purpose.
Nothing in this section limits obligations expressly accepted by Seraph Capital in a separate written agreement.
17. Limitation of Liability
To the fullest extent permitted by law, Seraph Capital and its owners, officers, employees, contractors, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the Online Services.
This includes damages relating to:
- loss of profits;
- loss of revenue;
- loss of business opportunity;
- loss or corruption of data;
- business interruption;
- reliance on website content;
- inability to access the Online Services;
- third-party conduct; or
- a transaction that does not proceed or close.
To the fullest extent permitted by law, the total aggregate liability of Seraph Capital arising from or relating specifically to your use of the Online Services will not exceed the greater of:
- $100; or
- the amount you paid directly to Seraph Capital specifically for use of the Online Services during the 12 months preceding the event giving rise to the claim.
This limitation does not alter liability expressly accepted under a separate written agreement governing a paid service or transaction.
Some jurisdictions do not allow particular warranty disclaimers or liability limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted.
18. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Seraph Capital and its owners, officers, employees, contractors, and agents from claims, liabilities, losses, damages, costs, and reasonable attorneys' fees arising from:
- your unlawful or unauthorized use of the Online Services;
- information you submit without appropriate authority;
- your material breach of these Terms;
- your violation of another person's rights;
- your misuse or unauthorized redistribution of website content, reports, or data; or
- fraudulent, deceptive, or intentionally wrongful conduct by you.
This provision does not require you to indemnify Seraph Capital for liability caused solely by Seraph Capital's own fraud, willful misconduct, or another matter that cannot lawfully be indemnified.
19. Suspension and Termination
Seraph Capital may suspend, restrict, or terminate your access to the Online Services if:
- you violate these Terms;
- your use creates a security, legal, or operational risk;
- you engage in fraudulent, abusive, or unauthorized conduct; or
- suspension or termination is reasonably necessary to protect Seraph Capital or another person.
Provisions that by their nature should survive termination will remain effective, including provisions concerning intellectual property, disclaimers, liability limitations, indemnification, governing law, and separate agreements.
20. Electronic Communications
By using the Online Services, you consent to receive agreements, disclosures, notices, and other records relating to the Online Services electronically, including through website postings or email.
This electronic-communications consent does not, by itself, authorize promotional email or enroll you in the SMS program.
You are responsible for maintaining accurate contact information and access to the email address or telephone number you provide.
21. Governing Law and Venue
These Terms and disputes arising from or relating to the Online Services are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles.
Any legal action arising from or relating to these Terms or the Online Services must be brought in:
- an appropriate state court located in the Commonwealth of Massachusetts; or
- the United States District Court for the District of Massachusetts.
Each party consents to the personal jurisdiction of those courts.
A separate written agreement may establish different governing-law, venue, or dispute-resolution provisions for the service or transaction governed by that agreement.
22. Changes to These Terms
We may update these Terms to reflect changes in:
- the Online Services;
- business practices;
- legal or regulatory requirements;
- technology; or
- available services.
When we update these Terms, we will revise the "Last Updated" date at the top of the page.
Revised Terms become effective when posted unless a different effective date is stated. Your continued use of the Online Services after the effective date constitutes acceptance of the revised Terms.
Material changes to SMS terms will be communicated as required through an appropriate method.
23. Miscellaneous
These Terms constitute the entire agreement between you and Seraph Capital concerning use of the Online Services, but do not replace any separate written agreement governing a service or transaction.
If a provision of these Terms is held invalid or unenforceable, the remaining provisions will remain effective, and the affected provision will be enforced to the maximum extent permitted.
Seraph Capital's failure to enforce a provision does not waive its right to enforce that provision later.
You may not assign your rights or obligations under these Terms without Seraph Capital's prior written consent. Seraph Capital may assign these Terms in connection with a merger, reorganization, sale of assets, change of control, or transfer of the Online Services.
Headings are provided for convenience and do not affect interpretation.
